• Exceed the user limits specified in your license tier

• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA

11.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Amber Drift Solutions and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your Content or conduct

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Ottawa, Ontario.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or representative proceedings.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our website. Your continued use after changes constitutes acceptance of the new Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Amber Drift Solutions.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

You may not assign these Terms without our prior written consent. We may assign these Terms freely.

Our failure to enforce any right or provision will not be considered a waiver of those rights.
